These Terms of Service ("Terms") govern your access to and use of CryptoSwings (the "Service"), operated by MZ NY TECHNOLOGIES INC. ("we", "us", or "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. What CryptoSwings is (and is not)

CryptoSwings is a community sentiment and accountability platform. We detect notable cryptocurrency price movements and let users publicly predict ("call") their direction, then score those calls against publicly available market data. The Service is provided for informational and entertainment purposes only.

CryptoSwings is not a broker, dealer, exchange, money transmitter, investment adviser, financial adviser, or trading platform. We do not facilitate the buying, selling, custody, or transfer of any cryptocurrency or other asset. Nothing on the Service constitutes financial, investment, legal, accounting, or tax advice, a recommendation, an offer, or a solicitation to buy or sell anything.

Points, ranks, streaks, badges, titles, medals, and similar features have no monetary value, are not currency, are not redeemable for cash or anything of value, and cannot be purchased, sold, or transferred. The Service does not involve real-money wagering, betting, or gambling, and no consideration is staked on any outcome.

2. Not financial advice: your decisions are your own

Cryptocurrency markets are volatile and high-risk. Any predictions, accuracy scores, rankings, community sentiment, comments, or other content shown on the Service reflect opinions and automated calculations, not advice. Past performance and accuracy never predict future results. You are solely responsible for any decision you make, including any decision to buy, sell, hold, or promote any asset, and for any resulting loss. You should consult a qualified professional before making financial decisions.

3. Data accuracy disclaimer

Prices, volumes, market capitalizations, timestamps, outcomes, and other figures are derived from third-party data providers (including, without limitation, CoinGecko, CoinPaprika, and KuCoin) and from our own automated processing. This data may be delayed, incomplete, inaccurate, or unavailable. Outcomes are determined solely from the data available to us at the time of resolution and may differ from figures reported elsewhere. We do not guarantee the accuracy, completeness, timeliness, or reliability of any data, and we are not a price oracle or authoritative source. The Service may include automated, simulated, or AI-generated content and activity.

4. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information, to keep your login credentials secure, and to be responsible for all activity under your account. You may not impersonate others, create accounts through automated means, or maintain multiple accounts to manipulate rankings or outcomes. We may refuse, suspend, or terminate any account at our discretion.

5. Acceptable use

You agree not to:

use the Service to manipulate, or attempt to manipulate, the price or market of any asset;
use bots, scripts, scrapers, or automated means to access, collect from, or interact with the Service;
create multiple or fake accounts, or otherwise game points, streaks, or leaderboards;
post content that is unlawful, fraudulent, defamatory, harassing, infringing, or that constitutes financial advice, market manipulation, pump schemes, spam, or solicitation;
interfere with, disrupt, probe, or attempt to gain unauthorized access to the Service or its systems;
reverse engineer or attempt to extract our detection logic, scoring methodology, or source code;
violate any applicable law or the rights of any third party.

6. User content

You retain ownership of comments and other content you submit ("User Content"), but you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, display, adapt, and distribute that content in connection with operating and promoting the Service. You represent that you have the rights to your User Content. We may, but are not obligated to, monitor, moderate, edit, or remove any content at our discretion and without notice. Your username, predictions, accuracy, rankings, badges, and comments are public and may be displayed, shared, and indexed.

7. Points, rankings, and Service changes

We may add, modify, suspend, reset, or remove any feature, including points, scoring rules, seasons, leaderboards, badges, and detection criteria, at any time and without liability. We may correct or recalculate outcomes and scores where we identify errors.

8. Third-party services and advertising

The Service relies on and may link to third-party services and data sources, and may display sponsored or advertising content. We do not control and are not responsible for third-party services, content, or practices. Your dealings with any third party are solely between you and that third party.

9. Intellectual property

The Service, including its software, design, text, graphics, generated images, and branding, is owned by us or our licensors and is protected by intellectual property laws. Except for User Content, you may not copy, modify, distribute, or create derivative works without our prior written consent.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION. WE DO NOT WARRANT THAT THE SERVICE, ANY DATA, OR ANY OUTCOME WILL BE ACCURATE, RELIABLE, OR AVAILABLE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE OR OUR OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR ASSETS, OR FOR ANY TRADING OR INVESTMENT LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You agree to indemnify, defend, and hold harmless CryptoSwings and its operators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your User Content, your violation of these Terms, or your violation of any law or third-party right.

13. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. Upon termination, the provisions of these Terms that by their nature should survive will survive.

14. Governing law, disputes, and binding arbitration

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.

Informal resolution first. Before filing any claim, you agree to try to resolve the dispute informally by sending a written description to support@cryptoswings.com and allowing us 30 days to respond.

Binding arbitration. Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by final and binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs the interpretation and enforcement of this section. Judgment on the award may be entered in any court of competent jurisdiction.

Class-action and jury waiver. All claims must be brought in your individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. You and we waive any right to a jury trial and any right to participate in a class action, to the maximum extent permitted by law.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information. You may opt out of this arbitration agreement by emailing support@cryptoswings.com within 30 days of first accepting these Terms; opting out will not affect any other part of these Terms.

15. Copyright and DMCA

We respect intellectual property rights. If you believe content on the Service infringes a copyright you own or control, send a notice to support@cryptoswings.com that includes: (a) identification of the copyrighted work; (b) identification of the material claimed to be infringing and its location on the Service; (c) your contact information; (d) a statement that you have a good-faith belief the use is not authorized; (e) a statement, under penalty of perjury, that the information is accurate and that you are the owner or authorized to act on the owner's behalf; and (f) your physical or electronic signature. We may remove infringing material and terminate the accounts of repeat infringers.

16. Miscellaneous

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is held invalid or unenforceable, the remaining provisions remain in full effect. Our failure to enforce any provision is not a waiver of it. You may not assign or transfer these Terms without our prior written consent; we may assign them freely. We will not be liable for any failure or delay resulting from causes beyond our reasonable control. Section headings are for convenience only and do not affect interpretation.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
